A director of a railway company, also a member of a mercantile firm, entered into a contract quâ director with the firm for the supply of certain iron chairs at a fixed price: Held (1) such a contract, although it might be enforced at law, was illegal in equity upon general equitable principles, and would be set aside; (2) no question could be raised as to the fairness or unfairness of a contract so entered into. In such a case the law of Scotland differs in no respect from the law of England.
